A.General Terms
1.Confirmation and Acceptance
1.1 Your Relationship With Us

Distill mobile and web applications and the related websites (“Distill”) are owned and operated by Devois Inc. and its affiliates (collectively “we”, "us" or "Company").

You must carefully read these Terms of Service (these “Terms”) which set forth the terms and conditions by which you may access Distill and any related service, whether in whole or in part provided by us, and all any content, tools, features and functionality offered thereon (collectively, the “Service”). These Terms form a legally binding agreement between you, as a user of the Service (“you”) and us.

If you are using our Service on behalf of a business or entity, whether in part of in whole, then you agree, represent and warrant that (a) you are duly authorized by such business or entity to agree on its behalf and bind such business or entity to these Terms; and (b) your business or entity is legally responsible for your use of our Service as well as for the use of your account by other individuals authorized by your business or entity, including without limitation, any authorized employees or officers.  In such case, “you” and “your” means you and the business or entity that you represent when using the Platform on their behalf.

1.2 Accepting the TermsBy accessing or using our Service, you confirm that you can form a binding contract with the Company, that you accept these Terms and that you agree to comply with them. If you access or use the Service from within a jurisdiction for which there are separate supplemental terms, you also hereby agree to the supplemental terms applicable to users in each jurisdiction as outlined below, and in the event of a conflict between the provisions of the Supplemental Terms – Jurisdiction Specific that are relevant to your jurisdiction from which you access or use the Service, and the rest of these Terms, the Supplemental Terms – Jurisdiction Specific for the relevant jurisdictions will supersede and control.

If you do not agree with or accept these Terms, you must not access or use the Service. You will be deemed to accept the Terms and agree to be bound by the terms hereunder if you access or use the Service.

1.3 Changes to the TermsWe may amend and/or update these Terms from time to time. We will update the “Last Updated” date at the top of these Terms, which reflect the effective date of such Terms. We will also use our commercially reasonable endeavors to, but do not guarantee that we will, notify you of any material changes to these Terms. For example, we may send a message to your email address, or we may display the revised version of this Agreement via in-app notification or private in-app letter. The updated Terms shall become effective and replace the prior Terms at the time of posting online or such other time as may be indicated by us.  If you do not agree with or accept the updated Terms, you can choose not to use the Service. You will be deemed to accept the updated Terms if you continue to use the Service after these Terms have been updated.

1.4 Privacy PolicyOur Privacy Policy describes how we handle the information you provide to us when you use the Service. For an explanation of our privacy practices, please visit our Privacy Policy located at here.

2.Account Registration and Use

2.1 Your Qualifications
Distill IS NOT AVAILABLE TO CHILDREN WHO ARE UNDER THE AGE OF THIRTEEN (13). You must be over the age of 13 (“Minimum Age”), or the relevant age in your jurisdiction as specified in the Supplemental Terms - Jurisdiction Specific below. If your child is using the Service and is below the Minimum Age, please contact us immediately, so that we can disable his or her access.

If you are over the Minimum Age but under the age of 18 (or the relevant legal minimum age of majority in your jurisdiction), you should have your parent, representative or guardian agree to these Terms on your behalf.

2.2 Account Registration
To use certain functions of the Service, you must complete all the registration procedures according to the instructions on the registration page to obtain a user account (“Account”). You can log into the Service through the username and the password created by you.

By creating an Account, you undertake to and shall provide true, accurate, current, and complete information as we request. It is important that you maintain and promptly update your details and any other information you provide to us, to keep such information current and complete.

2.3 Account Safety and Management
It is important that you keep your Account password confidential and that you do not disclose it to any third party. If you know or suspect that any third party knows your password or has accessed your Account, you must promptly notify us at reports@distillapp.co. You agree that you are solely responsible (to us and to others) for all activity that occurs under your Account, including but not limited to online signature of various agreements, release of information, purchase of commodities and services as well as disclosure of information. Your Account can only be used by yourself and you may not lend, give away or rent the Account or transfer, sell or share the Account in violation of the prescribed procedures.

If your Account has not been used for more than 6 months, we have the right to suspend, and/or terminate your Account, delete or de-identify all records (including but not limited to registration information etc.) of the Account from the Distill platform database or take other cleanup measures. If we do so, you will no longer be able to use your Account to log into the Service and any information relating to your Account may be blocked or deleted. Distill will use our commercially reasonable endeavors to notify you before removing your Account including, but not limited to, through popup windows, website announcements, site notices and/or client notifications.

2.4 Account Suspension and Termination
We may immediately and at any time, at our sole discretion, terminate or suspend your use of Distill, our Service, and/or your Account at any time, without notice for any reason or no reason, including if in our opinion (i) you have failed to comply with any of the provisions of these Terms or other related documents, (ii) you have violated applicable laws, regulations or third party rights, or (iii) we believe that such action is reasonably necessary to protect the personal safety or property of Company, other Service users, or third parties. We have the sole right to determine whether you are in breach of any terms contained in these Terms.

If your Account is suspected to be involved in illegal or improper activities, you shall cooperate with the relevant personnel designated by us to resolve the issue.  In such situations, we may be required to cooperate with competent authorities investigating such activities including, but not limited to, conducting investigation and collecting evidence of such illegal activities, or by providing such authorities with identity information and/or transaction records of any associated Account. YOU HEREBY WAIVE AND HOLD HARMLESS COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

You acknowledge that we may use monitoring data in accordance with our Privacy Policy as the basis for determining whether your account has been hacked, or whether any other improper or illegal acts have been undertaken via the Service. For clarity, monitoring data does not include any content of your communications. You further acknowledge and agree that, if we determine that your account is involved in any improper or illegal acts, we have the right to suspend or terminate your access to the Account and take other remedial measures. You also acknowledge and agree that we are not obligated to provide you with evidence relating to the suspected improper or illegal acts of your Account.

Account deactivation
You can deactivate your Account by notifying and asking us to take measures to suspend the login and use of your Account. You will be required to provide valid personal identity information that is consistent with the registered identity information on the Account. Otherwise, we have the right to refuse your request.

2.5 Termination of Service
Please note that regardless of any notice, we reserve the right to discontinue the Service or to terminate or suspend your Account in our sole discretion, for any reason. Furthermore, we may modify or terminate the Service, in whole or in part, temporarily or permanently at any time and in our sole discretion without any obligation or liability to you.  You understand and agree that the Service and/or any items which are stated to be “permanent” or its equivalent shall be interpreted as a time period until the date announced by us when the Service will be terminated permanently.  We are not liable for any obligations to you with respect to the Service for such permanent termination.

3.Conduct on the Platform

3.1 Reasonable Use
We expect that you will use the Service reasonably and at all times comply with our Community Guidelines. If your use of the Service exceeds reasonable and normal standards, we may monitor your usage. If we identify any violating, abnormal or unreasonable use (at our sole discretion), we have the right to take corresponding measures, including without limitation, restricting, suspending or terminating your access to the Service, in part or in whole.

You must comply with all applicable laws, rules and regulations when using the Service. You shall not use Distill to upload, download, send or transmit sensitive information and information in violation of applicable laws and regulations, and you agree not to engage in any of the following prohibited activities when using Distill, or allow any person to use your access to Distill to do the following. If you are aware of any unlawful use of your Account or any Account security issues, please notify us immediately.

3.2 Sponsored Content
For any User Content (as defined in Section 5.4 below) that features or is influenced by a business partner for an exchange of value, we require that you comply with our Sponsored Content Guidelines and our Advertising Policies. You cannot accept anything of value to post content that does not feature you or that was created without your involvement. You must comply with all applicable laws and regulations, including by ensuring that you make all disclosures required to other users of the Service, such as any disclosures needed to indicate the commercial nature of User Content. You assume full liability for failure to comply with such laws and regulations.

Additionally, we may make available to you certain items through the Service, including as set forth in our “recommended promotions list” which features certain products or services of our partners (the “Recommended Products”).  If you feature Recommended Product in your profile or your User Content, you hereby authorize us, in our sole discretion, to display, embed or otherwise insert a link on your User Content to the applicable partner providing such Recommended Product.

3.3 Prohibited Actions
When you use the Service, you must not:
